What’s Not Included

URSB’s registration fee is only one part of the total cost of starting a business in Uganda. Also budget for:

  • TIN registration with URA: free, but required separately from URSB registration before you can operate
  • Local government trading license: varies by district and business type, not set by URSB
  • Legal or professional drafting fees: optional, if you use a lawyer or registration agent rather than filing directly

How much does it cost to register a company in Uganda?

For a standard private limited company with nominal share capital up to UGX 5,000,000, expect UGX 70,000 total: UGX 20,000 name reservation plus a flat UGX 50,000 registration fee. Above UGX 5,000,000, the registration fee becomes 1% of share capital and a 0.5% stamp duty also applies.

Is there a URSB fee for share capital under UGX 1,000,000?

URSB’s published schedule shows a flat UGX 50,000 fee for the UGX 1,000,000 to 5,000,000 band but doesn’t list a separate rate below that. This calculator assumes the same UGX 50,000 fee applies below UGX 1,000,000, but confirm directly with URSB if your nominal capital falls under that threshold.

What does it cost to register a company limited by guarantee?

UGX 115,000 total: UGX 80,000 registration fee plus UGX 35,000 stamp duty. This applies regardless of size, since companies limited by guarantee don’t have share capital. Annual returns after that cost UGX 30,000 per year, including a copy of your balance sheet.

How much does it cost for a foreign company to register a branch in Uganda?

A minimum of $315: $250 for a certified copy of your memorandum, plus $55 per additional form and $10 per certified copy. Unlike local company fees, these are charged in USD.

Does this include my TIN or trading license?

No. TIN registration with the Uganda Revenue Authority is free but handled separately from URSB. Trading license costs are set by your local government and vary by district and business type, URSB’s fee schedule doesn’t cover either.
